My Place in Print is an online market place for the sale of products (physical goods only, not digital files) typically featuring landscape photography (images). The images are provided by photographers (Sellers who register with My Place in Print to create an account), who grant My Place in Print permission to use their images (only for the purposes described herein). Sellers are paid for each sale of a product featuring their image in the form of a financial commission (a proportion of the sale price).
By registering to become a Seller (creating an account) and by providing images to My Place in Print you confirm your acceptance of these Terms and Conditions outlined below and that these form a legally binding Agreement between you and My Place in Print. You should also sign the Declaration form (Agreement to Seller Terms and Conditions And Instruction to Receive Payment by BACS, V1.0, July 2017) to confirm this acceptance.
By submitting images to My Place in Print, you grant My Place in Print the worldwide, non-exclusive right and licence to publically display, use and reproduce for sale these images as printed products only (not digital files), until your account is terminated. You also give permission to My Place in Print to edit information (text but not metadata) provided by you in relation to your submitted images as required to manage these.
Images shall only be reproduced for sale in the form of the products sold by My Place in Print. These products are restricted to physical entities only, such as framed prints and greeting cards. Images will not be edited by My Place in Print or reproduced or sold as digital files. Some products, such as greeting cards, may be purchased by third parties from My Place in Print for onward sale. You also give permission for such third parties to publically display and sell products purchased from My Place in Print, bearing your original images, until your account is terminated.
Images may be used by My Place in Print for the purpose of the advertising or marketing of My Place in Print. This will be acceptable without any payment required to you.
The copyright of images shall remain with the authorised copyright party or image owner (you) and nothing in the Terms and Conditions shall imply or invoke the contrary.
You are responsible for ensuring that you own the copyright or have the right (permission from the image owner) to submit images for sale by My Place in Print. My Place in Print is not obligated to prove or ensure this is the case.
You may not copy, frame, snip or hotlink to the My Place in Print website without permission from My Place in Print. Links to the My Place in Print website are permissible.
You hereby grant My Place in Print the right and authority to pursue a copyright infringement claim should this be considered appropriate by My Place in Print to protect content managed by My Place in Print as submitted by you.
My Place in Print is not responsible for ensuring the copyright laws are adhered to by those viewing or in possession of products purchased from My Place in Print. My Place in Print is not obligated to take legal action in respect to possible copyright infringement in relation to your images.
You agree to provide true and complete information relating to your account with My Place in Print, submitted images and any accompany content, i.e. information (text descriptions) relating to submitted images.
By registering to become a Seller with My Place in Print you provide your consent of the Privacy details outlined below.
My Place in Print has the right to refuse or close any account, at any time, as it considers necessary and is not required to disclose the reason(s) for any refusals or closures to you.
You can request (by email) for your account to be closed at any time and this will be done within a maximum of 30 calendar days. Upon closure of an account all permissions to My Place in Print for the use of the images provided by the account holder shall be terminated from the closure date forward. My Place in Print is not responsible for the control of products bearing your imagery beyond the closure date where these have been purchased by third parties for onward sale.
My Place in Print has the right to refuse to accept or to remove previously accepted images for any reason and is not required to disclose the reasons for doing so. You will be notified in the event that images are removed, prior to their removal.
You have the right to request images to be removed from your account at any time for any reason and you are not required to disclose your reasons. Images will be withdrawn as soon as possible and no later than 30 calendar days after request.
You provide permission for your images to be used (without cost) by My Place in Print for its own promotional purposes, regardless of platform (e.g. social media or magazines).
You agree to follow the My Place in Print Photography Guidelines.
My Place in Print will follow the Image Security measures to protect the copyright of your images but My Place in Print does not accept responsibility for the unlawful use of the images provided by Sellers.
Images of identifiable people are not permitted for submission to avoid the potential complication of model releases. Similarly, images of recognisable property, i.e. anything identifiable that’s copyrighted/trademarked e.g. logos and branded items, are not permitted for submission to avoid the potential complication of property releases.
My Place in Print will pay a commission to you for each sale of a product using your image(s) for which My Place in Print receives payment from the customer. Some products, e.g. greeting cards, may be purchased from My Place in Print for onward sale, i.e. they may be supplied by My Place in Print as stock for further third party sale. In such instances no additional commission would be due to you for the further third party sale of the products supplied by My Place in Print. Your commission is only applied at the point of sale from My Place in Print.
The rate of commission will be the default rate unless otherwise specifically agreed with you.
Payments will be made monthly by electronic bank transfer. The date of transfer will be at the beginning of each calendar month for sales made in the preceding month.
If your account is terminated for breach of these Seller Terms and Conditions, My Place in Print has the right to retain any outstanding commission due to you.
In the event that the sale of your product(s) is refunded the apportioned commission having been paid or due to you shall be reversed and deducted from future commission payments. Under such circumstances, proof of any refunds must be provided by My Place in Print to you.
If My Place in Print makes and overpayment in error to you, My Place in Print shall have the right to deduct the amount of the overpayment from future commission payments or to demand the immediate repayment of the overpaid sums.
Seller Data and Privacy
Personal information is required by My Place in Print for the administration of your account. This includes your name, phone number and email address. Details are also required of your bank account and sort code to facilitate the payment of commission. Further information may be acquired through correspondence, for example demographics. No payment details (i.e. bank card details to receive money) of customers or Sellers are held by My Place in Print. Where this data is taken as part of the online sales process, it is taken and held by secure third parties (e.g. WorldPay) and is not disclosed to My Place in Print.
It is the responsibility of the Seller to notify My Place in Print of any changes to this data such that My Place in Print can maintain its obligations of the Terms and Conditions.
My Place in Print will not share your personal data with anyone (with the exception of where this may be requested for legal reasons, e.g. copyright infringement claims).
Your data is not stored online, i.e. it is not stored on the internet or on a third party server, but is stored on a private external hard drive. It cannot be accessed by anyone beyond My Place in Print. Your website profile is protected by your unique Seller ID and secure password, that should not be divulged to anybody else. Your website profile does not hold your personal details such as your real name, phone number or email and so these details are not held online.
In using the My Place in Print website, you accept that your online automatic use data (aka cookies) can be acquired and used as part of the function of the website on your devices used to access the internet.
Any significant changes to the privacy of your data will be notified to you prior to those changes taking effect.
Upon closure of an account all personal data provided by the account holder shall be deleted.
Should any part of these Seller Terms and Conditions be found to legally invalid or unenforceable, this shall not render the remainder of the Seller Terms and Conditions invalid.
These Seller Terms and Conditions are governed by the law of the United Kingdom.
My Place in Print will not be liable for any claims arising from the unlawful use of your images.
My Place in Print may modify these Seller Terms and Conditions at any time and you agree to remain in acceptance of these Seller Terms and Conditions subsequent to any changes made. My Place in Print shall notify you of any changes to the Seller Terms and Conditions in advance. You have the right to close your account should you not agree with any future changes made to the Seller Terms and Conditions.
If you breach any aspect of the Seller Terms and Conditions My Place in Print has the right to close your account without warning or justification.
These Seller Terms and Conditions do not apply to third parties beyond you and My Place in Print.
You hereby confirm that:
- you are age 18 or over;
- you have the right and authority to enter into this Agreement with My place in Print and to perform all your duties as described herein;
- there is no legal reason why you may not enter into this Agreement with My Place in Print;
- the images submitted by you are yours (in respect to copyright) or you have the authority to make such submission by the image owner;
- the personal data provided by you for the administration of your account can be used by My Place in Print (only) beyond your own personal confines;
- the images submitted by you do not violate any laws or regulations or infringe on the copyright or any other right of any other third party, including trademark or privacy rights; and
- you understand that acceptance of these Seller Terms and Conditions should not be construed to form any kind of employment with respect to employment law or rights, or partnership/joint venture/franchise and that the relationship between My Place in print and the Seller is independent.
My Place in Print confirms that:
- it has the right and authority to enter into this Agreement with you and to perform all its duties as described herein;
- it reserves the right to set all product pricing including sales and reductions; and
- it shall notify you of any changes to these Seller Terms and Conditions.
The Declaration form (provided in the Seller Welcome Pack) should be signed to acknowledge acceptance of these Seller Terms and Conditions.
